These Terms of Service ("Terms") are a legal agreement between you and FleetStat, operated by Bryan Kilpatrick, sole proprietor, based in the State of Georgia, United States ("FleetStat," "we," "us," or "our"). By creating an account, installing the browser extension, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
FleetStat is a fleet-management web application intended to help Turo hosts track vehicles, trips, earnings, expenses, and related operational data. The Service includes the website at myfleetstat.com, our application programming interfaces, and the FleetStat browser extension.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use FleetStat. By using the Service you represent and warrant that you meet these requirements.
3. Account registration and security
You are responsible for providing accurate registration information, for maintaining the confidentiality of your password and any extension tokens you generate, and for all activity that occurs under your account. Notify us immediately at support@myfleetstat.com if you suspect unauthorized access to your account.
4. Turo integration; not affiliated with Turo
FleetStat is an independent service. It is not owned by, endorsed by, sponsored by, or otherwise affiliated with Turo Inc. or any of its affiliates. "Turo" is a trademark of its respective owner and is used here only to describe the data source FleetStat integrates with.
When you use the browser extension or upload a Turo CSV export, you are instructing FleetStat to read data from your own Turo host account. You represent and warrant that you have the authority to access that data and that doing so does not violate any agreement between you and Turo, including Turo's Terms of Service. You are solely responsible for compliance with any third-party terms, including Turo's.
5. Data accuracy; no financial, tax, or legal advice
FleetStat helps you organize and analyze fleet data on a best-effort basis. The data we import depends on the accuracy and completeness of the underlying Turo export or extension response, which may change without notice. FleetStat does not provide financial, tax, accounting, investment, legal, or insurance advice. Figures and reports produced by FleetStat are informational only and should be independently verified before being used for tax filings, financial decisions, insurance claims, or any other consequential use.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to gain unauthorized access to the Service, other users' accounts, or the underlying systems;
- Reverse engineer, decompile, or otherwise attempt to derive source code of the Service, except to the extent expressly permitted by law;
- Upload or transmit malware, or content that infringes intellectual property rights, violates privacy rights, or is defamatory, obscene, or otherwise unlawful;
- Resell, sublicense, or commercially redistribute the Service without our written permission;
- Use automated means (other than our official extension or APIs) to scrape or stress the Service;
- Use the Service to access Turo data you are not authorized to access.
7. Subscriptions and fees
Portions of the Service may require a paid subscription. If you purchase a subscription, fees, billing cycles, and cancellation terms will be disclosed at the point of purchase. Except as required by law or as expressly stated in our Refund Policy, fees are non-refundable.
8. Intellectual property
FleetStat and its licensors own all right, title, and interest in and to the Service, including all software, design, text, graphics, and trademarks, except for content you provide. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
You retain all rights in the data you upload or input into FleetStat ("Your Data"). You grant us a worldwide, non-exclusive license to host, copy, transmit, display, and process Your Data solely as needed to provide the Service to you.
9. Termination
You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if continued provision of the Service to you poses a security, legal, or commercial risk. Sections that by their nature should survive termination (including disclaimers, limitations of liability, and governing law) will survive.
10. Disclaimers
The service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. We do not warrant that the service will meet your requirements, that any data will be accurate or reliable, or that any defects will be corrected.
11. Limitation of liability
To the maximum extent permitted by law, in no event will fleetstat, its owner, or its suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of the service, even if advised of the possibility of such damages. Fleetstat's total aggregate liability arising out of or relating to the service will not exceed the greater of (a) the amount you paid fleetstat in the 12 months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (us$100.00).
12. Indemnification
You agree to indemnify, defend, and hold harmless FleetStat, its owner, agents, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service, (b) Your Data, (c) your violation of these Terms, or (d) your violation of any third-party right, including any third-party agreement (such as Turo's Terms of Service) or any law.
13. Governing law; venue; dispute resolution
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. You and FleetStat agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in the State of Georgia, and you consent to personal jurisdiction in those courts. You and FleetStat each waive any right to a jury trial and agree that any dispute will be brought only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
14. Changes to the Terms
We may modify these Terms from time to time. If we make material changes, we will notify you by email or through the Service prior to the changes taking effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance.
15. Entire agreement; severability
These Terms, together with the Privacy Policy, constitute the entire agreement between you and FleetStat regarding the Service. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force.
